1. Agreement to these terms
These Terms of Service (“Terms”) are an agreement between you and MeritByte Technologies (“MeritByte,” “we,” “us,” or “our”). By accessing or using MeritByte Postiz (the “Service”), you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind it. If you do not agree, do not use the Service.
2. The Service
The Service helps authorized users prepare, store, schedule, and publish social content to accounts they connect. MeritByte Postiz is an independently operated deployment built with open-source Postiz software. We are not the operator of, or endorsed by, the third-party social networks available through the Service.
3. Eligibility and accounts
You must be legally able to enter this agreement, be at least 18 years old (or the age of majority where you live), and meet the eligibility requirements of every social platform you connect. You must provide accurate information, protect your credentials, restrict account access to authorized people, and promptly notify us of suspected unauthorized use.
4. Connected social accounts
You may connect only accounts you own or are authorized to manage. Connecting a platform authorizes the Service to use the permissions you approve for requested functions such as reading basic account details and publishing content. You are responsible for reviewing the platform consent screen and its own terms, policies, content rules, API limitations, and privacy settings.
You may disconnect an account at any time. Platform outages, review requirements, permission changes, rate limits, API changes, or enforcement decisions may affect a connection or publishing request. We do not control those platform actions.
5. Your content and instructions
You retain ownership of content you submit. You grant MeritByte a limited, non-exclusive license to host, copy, process, transmit, and format that content solely as needed to operate, secure, and provide the Service and carry out your publishing instructions.
You are responsible for your content, selected audience and privacy settings, publication timing, legal disclosures, permissions, and the consequences of publishing. You represent that you have all rights and permissions needed for the content and that it does not violate law, these Terms, or a platform’s rules.
6. Acceptable use
You must not use the Service to:
- Publish unlawful, fraudulent, deceptive, defamatory, abusive, or infringing material.
- Spam, manipulate engagement, impersonate others, or coordinate inauthentic behavior.
- Exploit or harm minors or publish another person’s private data without authority.
- Distribute malware, destructive code, phishing, or content designed to compromise security.
- Bypass access controls, platform limits, approval requirements, or technical protections.
- Probe, disrupt, overload, reverse engineer, or misuse the Service except where law clearly permits.
- Resell access, share credentials outside your authorized team, or use the Service for an unauthorized third party.
7. TikTok and other platform requirements
When publishing to TikTok or another network, you must comply with that platform’s developer terms, community guidelines, music and intellectual-property rules, branded-content disclosures, privacy requirements, and account restrictions. You must select accurate publishing and privacy settings. Approval to connect a platform does not guarantee that any particular post will be accepted or remain available.
8. Third-party services and open-source software
The Service depends on third-party networks, infrastructure, libraries, and APIs that have separate terms. We are not responsible for third-party content, policies, availability, or decisions. Open-source components remain subject to their respective licenses. “Postiz” and third-party platform names may be trademarks of their respective owners.
9. Service changes and availability
We may add, change, suspend, or remove features to maintain security, comply with law or platform requirements, respond to provider changes, or improve the Service. We aim for reliable operation but do not guarantee uninterrupted or error-free availability. You should keep independent copies of important content and confirm time-sensitive publications directly on the destination platform.
10. Fees
If paid plans or services are offered, pricing and payment terms shown when you subscribe will apply. Unless required by law or stated otherwise at purchase, charges are non-refundable. You are responsible for applicable taxes and any fees charged by third-party platforms or service providers.
11. Suspension and termination
You may stop using the Service and request account deletion at any time. We may restrict or terminate access if you breach these Terms, create security or legal risk, fail to pay applicable charges, misuse a platform integration, or if continued service becomes impractical. Where reasonable, we will provide notice and an opportunity to address the issue.
Provisions that by their nature should survive termination—including ownership, disclaimers, limitations, indemnity, and dispute provisions—will survive.
12. Intellectual property
Except for your content, open-source components, and third-party materials, the Service’s branding, website content, arrangement, and proprietary materials are owned by MeritByte or its licensors. These Terms do not transfer ownership to you.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that content will publish at a specific time, achieve a particular result, or be accepted by a social platform. Nothing in these Terms excludes warranties that cannot legally be excluded.
14. Limitation of liability
To the maximum extent permitted by law, MeritByte and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, audience, opportunity, or business, arising from the Service or a third-party platform. Where liability cannot be excluded, it will be limited to the amount you paid us for the Service during the six months before the event giving rise to the claim. This section does not limit liability that applicable law does not permit us to limit.
15. Indemnity
To the extent permitted by law, you will defend and indemnify MeritByte and its personnel from third-party claims, losses, and reasonable costs arising from your content, your connected accounts, your instructions, or your violation of these Terms, law, or a platform’s rules.
16. Governing terms and disputes
These Terms are governed by the laws applicable to the Service operator, without regard to conflict-of-law principles. Before starting a formal claim, you agree to contact us and attempt in good faith to resolve the issue informally. Mandatory consumer protections and rights to bring claims in a competent local forum are not limited where applicable law does not allow that limitation.
17. Changes to these terms
We may update these Terms as the Service, platform requirements, or law changes. We will post the updated version at this URL and change the date above. If a change is material, we may also provide notice through the Service or by email. Continued use after the effective date means you accept the updated Terms.
18. General
If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a business reorganization. These Terms and the Privacy Policy are the complete agreement about the Service unless separate written terms apply.
